INTELLITHING PLATFORM TERMS OF SERVICE

1. Acceptance of Terms
Welcome to the INTELLITHING platform (“Platform”). These Terms of Service (“Terms”) outline the legal agreement between you (“Client”, “User,” “you,” or “your”) and INTELLITHING (“Company,” “we,” “our,” or “us”) governing your use of the Platform. By accessing or using the Platform, you agree to comply with these Terms. If you do not agree with these Terms, please refrain from using the Platform.
This platform is operated by INTELLITHING. Throughout the platform, the terms “we,” “us,” and “our” refer to INTELLITHING. INTELLITHING offers this platform, including all information, tools, and services available from this site, to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.
These Terms of Service apply to all users of the platform, including, without limitation, users who are builders, developers, customers, contributors, and vendors.
Any new features or tools which are added to the current platform shall also be subject to the Terms of Service. We reserve the right to update, change, or replace any part of these Terms of Service by posting updates and/or changes to our platform. SECTION 1 – PLATFORM USAGE TERMS
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have obtained proper authorization to use this platform on behalf of any minor dependents.

The headings used in this agreement are solely for convenience and do not in any way limit or alter the scope or effect of these Terms.
Platform Description: The INTELLITHING Platform is a no-code tool that enables Users to create customized applications utilizing generative artificial intelligence (“Generative AI”). The Platform allows Users to develop and deploy applications without requiring extensive coding skills.
Ownership of Output: The output generated by the Generative AI within the Platform belongs solely to the User. INTELLITHING does not assert any ownership rights over the output produced by the Generative AI.
SECTION 3 – CONFIDENTIALITY AND SECURITY
INTELLITHING recognizes the paramount importance of safeguarding the sensitive information, data, knowledge, documents, and proprietary details of our clients. We commit to treating all client information with the utmost confidentiality and to providing it with security measures at the level of industry standards.
You acknowledge and agree that any information shared with INTELLITHING as part of your use of the platform shall be deemed confidential and shall be protected with security measures akin to bank-leve4 security protocols. This includes any information, data, documentation, knowledge, or proprietary details that you provide to us.
We will take reasonable steps to ensure the protection, confidentiality, and integrity of such information and data.
INTELLITHING reaffirms that any data, documents, and proprietary information provided by clients shall remain exclusively to the providing client. We do not lay claim to ownership of any client data or proprietary information, and we shall not have any vested interest in any client data, documents, and proprietary information.
SECTION 4 – ACCURACY, COMPLETENESS, AND TIMELINESS OF INFORMATION
We do not take responsibility if the information made available on this platform is not accurate, complete, or current. The content provided on this platform is intended for general informational purposes only and should not be relied upon as the sole basis for making decisions. You acknowledge and agree that the access we provide to these tools is “as is” and “as available,” without any warranties, representations, or conditions of any kind, and without endorsement. We bear no liability arising from or related to your use of optional third-party tools.
Any utilization of the optional tools offered through the platform is solely at your own discretion and risk. You must ensure that you are well-informed about and in agreement with the terms provided by the relevant third-party provider(s).
Furthermore, we may introduce new services, features, and tools through the platform in the future, including the release of new resources. Such additions shall also be governed by these Terms of Service.

You explicitly agree that your use of, or inability to use, the platform is entirely at your own risk. The platform and all products and services delivered to you through the platform are provided “as is” and “as available” for your usage. We make no representations, warranties, or conditions of any kind, whether express or implied, including but not limited to, implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
Under no circumstances shall INTELLITHING, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages. These damages can arise from contract, tort (including negligence), strict liability, or any other legal theory, arising from your use of the platform, any products obtained through the platform, or for any other claim related in any manner to your usage of the platform or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred due to the use of the platform or any content (or product) posted, transmitted, or made available through the platform, even if we have been advised of the possibility of such damages.
Given that some states or jurisdictions do not permit the exclusion or limitation of liability for consequential or incidental damages, in those states or jurisdictions, our liability shall be restricted to the maximum extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless INTELLITHING and its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents they reference, or your violation of any law or the rights of a third party.
SECTION 14 – SEVERABILITY
If any provision of these Terms of Service is found to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service. This determination shall not affect the validity and enforceability of any other remaining provisions.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service remain effective until either you or INTELLITHING terminate them. You have the right to terminate these Terms of Service by notifying us that you no longer wish to use our services, or by discontinuing your use of our platform. If, in our sole judgment, you breach any term or provision of these Terms of Service or we suspect that you have done so, we reserve the right to terminate this agreement without notice. In such cases, you remain liable for all amounts due up to and including the date of termination. We may also deny you access to our services or any part thereof.
SECTION 16 – ENTIRE AGREEMENT
The failure of INTELLITHING to enforce any right or provision in these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service, along with any policies or operating rules posted by INTELLITHING on this platform or regarding the Service, form the complete agreement and understanding between you and us, governing your use of the Service. These Terms supersede any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including any prior versions of these Terms of Service). Any ambiguities in interpreting these Terms of Service shall not be construed against the drafting party.

INTELLITHING assumes no responsibility for the legality or ethical considerations of the data used by users.
SECTION 19 – GOVERNING LAW
These Terms of Service and any separate agreements under which INTELLITHING provides you with services shall be governed by and construed in accordance with the laws of England and Wales.
